Global power Semiconductor and management scheme leading companies - International Rectifier company, International Rectifier, IR) announced that it had signed the final agreement, with $75 million in cash for the private company CHiL Semiconductor Corporation (hereinafter referred to as CHiL), the final amount depends on the adjustment of working capital. This acquisition adds a leading digital power management platform to IR's technology portfolio. The platform improves the energy efficiency of computing systems, graphics, servers and gaming devices.
CHiL combines proprietary digital technology with mixed signal technology to provide high-performance multi-phase energy saving power solutions.Customers can use the open architecture of digital control to design power systems based on cost and performance objectives, thereby significantly reducing circuit board area and required materials, and integrating many analog functions into the design's digital core.
"Our extensive portfolio of industry-leading products such as the DirectFET, PowIRstage and SupIRBuckIR series, coupled with CHiL's technology and expertise, bring IR customers a unique value proposition, delivering a complete end-to-end integrated solution with both performance and cost effectiveness," said Tim Phillips, vice President and general manager, IR enterprise power business. The introduction of CHiL's technology by IR at a time when digital power management is rapidly gaining popularity will strengthen the company's market position in this area and help it seize growth opportunities."
Phillips added: "this acquisition is an inevitable step forward after our successful strategic product relationship with CHiL last year. The deal will add an experienced digital power design and application engineering team to IR, adding to our talent pool."
Vishwas Karve, IR vice President of strategy and business development, said, "the market's focus on energy saving products will increase over the next decade, which will enable digital power management solutions to be more widely used in dc-dc converters, ac-dc converters, lighting, inverters and class D audio systems. The acquisition of CHiL rapidly expanded IR's business in high-performance computing and graphics. In the medium term, it will also help us expand in the server, storage system and laptop terminal market. In the long run, this will extend to IR's other vertical end markets, including energy efficiency products, automotive products and HiRel."
Ram Sudireddy, CEO of CHiL, said: "IR's focus on power management solutions and energy saving technologies makes it an ideal partner for our customers and employees. As the digital power management market continues to grow, the combination of IR and CHiL technologies will enable higher performance and lower cost solutions to help end users create more energy efficient solutions. To date, CHiL has received a large number of design orders in a wide range of areas, including graphics, high performance computing and server platforms.
The transaction is expected to close in the first quarter of 2011.The acquisition will initially generate an additional operating expense of approximately $3 million per quarter for IR, but related earnings are expected to be reflected in the company's fiscal 2012 earnings per share.
